Terms of sale

Scope of Application: These General Terms and Conditions of Sale (GTCS) exclusively govern the sale of medicines, medical devices, and healthcare products by the company Pharmaped to authorized professional clients: pharmacies, hospitals, or any certified structure holding the required legal authorizations.

Client Accreditation and Responsibility: The client guarantees that they possess all necessary authorizations, qualifications, and certifications required to purchase, receive, store, use, and dispense the ordered products.
Pharmaped reserves the right to refuse any order if there is any doubt regarding the client’s compliance with applicable regulatory obligations.

Orders: Any order constitutes a firm and final commitment by the client, once accepted by Pharmaped.
Pharmaped reserves the right to refuse or adjust an order if the requested quantities or products do not comply with regulatory thresholds or availability.
No product may be ordered for unauthorized resale purposes.

Prices and Payment Terms: Prices are expressed in euros excluding taxes and are ex works, unless otherwise agreed.
Payments must be made according to the terms stated on the invoice. In case of late payment, penalties will automatically apply in accordance with Article L.441-10 of the French Commercial Code.
No discount shall be applied without prior written agreement.

Delivery and Receipt: Deliveries are carried out by certified carriers, in accordance with cold chain requirements and Good Distribution Practices (GDP).
Delivery times are given for information purposes only. A delay shall not justify the cancellation of an order or any claim for damages.
Any anomaly (missing parcel, damage, non-compliant temperature) must be reported in writing within 24 hours of receipt, otherwise it will be considered null.

Retention of Title: Delivered products remain the property of Pharmaped until full payment is received. However, the transfer of risk (loss, theft, deterioration) occurs upon delivery of the products to the carrier.

Return Conditions: No return of medicines will be accepted without prior written authorization from Pharmaped's quality department.
Due to health regulations, no returns will be accepted for temperature-sensitive products, non-defective medicines, or products that have left the secure distribution chain.
In the event of a non-compliant or defective product, a replacement or credit note may be offered after inspection by our quality department.

Liability and Compliance: Pharmaped undertakes to supply products that comply with current legislation, in line with traceability, health safety, and pharmacovigilance regulations.
Pharmaped's liability shall not exceed the value of the disputed product and shall not cover indirect damages.

Force Majeure: Pharmaped shall not be held liable for the non-performance of all or part of an order in the event of force majeure, as recognized by case law (natural disasters, epidemics, supply chain disruptions, administrative decisions, etc.).

Jurisdiction and Applicable Law: These GTCS are governed by French law. Any dispute relating to their interpretation or execution falls under the exclusive jurisdiction of the courts located in the district of Pharmaped’s registered office.
